BRUTE ANALYTICS INC View360 Walk Forward Analyzer

 

LICENSE AGREEMENT

 

1.       This is an agreement between Licensor (“Brute Analytics Inc.”) and Licensee (either an individual or a single entity), who is being licensed to use the named Software (“View360”).

2.       Licensee acknowledges that this is only a limited nonexclusive license. Licensor is and remains the owner of all titles, rights, and interests in the Software.

3.       Licensor grants Licensee the rights described in this License provided that Licensee complies with all the terms and conditions of this License

4.       Licensee will not make copies of the Software or allow copies of the Software to be made by others, unless authorized by this License Agreement. This License grants the use of the Software according to license type below.

                                  i.            If Licensee purchased a License (“Single License”), Licensor grants Licensee one (1) personal license and allows the Licensee to install such Software on the Licensee’s machine(s) for single concurrent internal use.  This License permits Licensee to install the Software on up to two (2) computer systems. 

5. Licensee may not reverse engineer, decompile, disassemble, or otherwise decipher or decrypt the Software or its mechanisms for limiting usage.
   
6. Licensor may use one or more methods to unlock, activate, or enable the Software that is supplied by the Licensor.  Licensee may not transfer, share, or otherwise make known to other persons any Unlocking Codes, Activation Files, or other enabling software programs or mechanisms associated with the Software.
   
7. Licensor reserves all rights not expressly granted herein to Licensee.
   
8. Notwithstanding the foregoing, LICENSOR IS NOT LIABLE TO LICENSEE FOR ANY DAMAGES, INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, CONNECTED WITH OR RESULTING FROM THIS LICENSE AGREEMENT OR LICENSEE'S USE OF THIS SOFTWARE.
   
9. Licensee agrees to defend and indemnify Licensor and hold Licensor harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from Licensee's business operations or use of this product.
   
10. Licensor has the right to terminate this License Agreement and Licensee's right to use this Software upon any material breach by Licensee of this agreement.
    
11. Licensee agrees to return to Licensor all software and copies thereof upon termination of this agreement or to destroy all copies of the Software upon termination of the License and to verify the destruction by written affidavit.
    
12. This License Agreement is the entire and exclusive agreement between Licensor and Licensee regarding this Software. This License Agreement replaces and supersedes all prior negotiations, dealings, and agreements between Licensor and Licensee regarding this Software.
    
13. This License Agreement is governed by the law of Illinois applicable to Illinois contracts.
    
14. This License Agreement is valid without Licensor's signature. It becomes effective upon the earlier of Licensee's signature or Licensee's use of the Software.
